These Terms of Service ("Terms") govern your use of the Vanguard Digital Solutions website and the services provided by Vanguard Digital Solutions Pty Ltd (ABN 41 695 249 793) ("we", "us", "our"). By using our website or engaging our services, you agree to these Terms.
Services
Vanguard Digital Solutions provides custom AI systems, websites, AI receptionists, lead generation systems, Google review automation, and related digital services for Australian businesses. All services are scoped and delivered on a project basis.
Quotes and Pricing
All quotes are provided in writing before any work begins. A quote is valid for 30 days from the date of issue unless otherwise stated. No work commences until the quote has been accepted in writing and any agreed deposit has been received.
Prices are quoted in Australian dollars (AUD) and are exclusive of GST unless otherwise stated.
No Lock-In Contracts
We do not require long-term contracts. Each project is delivered under its own scope of work and quote. Ongoing services such as support and optimisation are provided on a month-to-month basis and may be cancelled with 30 days written notice.
Project Delivery
We will deliver projects within the timeline agreed in the project scope. Timelines may be extended if delays are caused by factors outside our control, including delays in receiving content, access, or approvals from the client.
We will keep you informed of progress throughout the project and notify you promptly of any anticipated delays.
Client Responsibilities
To deliver our services effectively, you agree to:
- Provide accurate and complete information as reasonably required
- Provide timely access to systems, accounts, and content needed for the project
- Review and provide feedback on deliverables within a reasonable timeframe
- Ensure you have the rights to any content you provide to us for use in your project
Intellectual Property
Upon full payment, you own the final deliverables created specifically for your project, including website code, copy, and design assets. We retain ownership of any pre-existing tools, frameworks, templates, and methodologies used in the delivery of your project.
We reserve the right to showcase completed work in our portfolio and marketing materials unless you request otherwise in writing.
Confidentiality
We will treat all information you share with us as confidential. We will not disclose your business information to third parties without your consent, except where required by law or where necessary to deliver the agreed services.
Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from or related to our services is limited to the amount you paid us for the specific project or service giving rise to the claim.
We are not liable for any indirect, incidental, consequential, or special damages, including loss of revenue, profit, data, or business opportunity, arising from or related to our services.
Nothing in these Terms excludes or limits any consumer guarantees or rights that cannot be excluded under Australian Consumer Law.
Termination
Either party may terminate a project engagement with 14 days written notice. If you terminate a project after work has commenced, you are responsible for payment for all work completed up to the date of termination. We will provide you with all completed deliverables upon receipt of payment.
Website Use
You may use our website for lawful purposes only. You must not use our website in any way that could damage, disable, or impair the site, or interfere with any other party's use of the site.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
